Funderbeam may amend this Agreement at any time without notice to you by posting a revised version on our website. The revised version will be effective at the time we post it unless indicated otherwise. However, we will usually provide 30 days prior notice of any substantial change. If you do not agree to be bound by the amended or modified Agreement you must cease accessing or using Funderbeam Services.
1.1. Funderbeam OÜ (“Funderbeam”) is a limited liability company registered in Estonia with registration number 12495417.
1.2. Funderbeam is not a financial institution, is currently not under direct supervision of a financial regulator and does not provide investment services, investment advice or any other licensed financial services.
2. Our services
2.1. Funderbeam provides information-related services. We collect and analyse mainly publicly available information provided by third parties (unless provided directly by users, companies or investors) and provide standardised and comparable data about startup companies along with profiles of corporate and individual investors. Funderbeam creates texts, graphs, infographics, and other visuals to make published data more accessible, standardised, user-friendly, and comparable.
2.2. The content included in the services and website, text, graphics, photos, audio, video, and all software that are part of the services is owned or licensed by Funderbeam and/or its licensors, unless indicated otherwise. We reserve all intellectual property rights in the services and our website.
2.3. For as long as we continue to offer our services, we shall seek to update, improve and expand them.
2.4. By using the services provided by Funderbeam, you may be exposed to content by other users or third parties.
2.5. Although we act in good faith, our information or services may be misleading, inaccurate, incomplete, harmful, delayed, illegal, or offensive.
2.6. We grant you to access Funderbeam services and website as it may exist and be available on any given day and we have no other obligations, except as expressly stated in this Agreement.
2.7. Funderbeam has the right to modify, replace, refuse access to, suspend, or discontinue its services or website, partially or entirely.
2.8. Funderbeam reserves the right to withhold, remove or discard any content available as part of your account, website, means of information, or services provided, with or without notice.
3. User/Your obligations
3.1. You acknowledge that information and services provided by Funderbeam are for information purposes only and are designed as an additional tool and help for comparing startup companies, their management, teams, investors etc.
3.2. While using Funderbeam Services or website you must be at least 18 years old (or the age of contractual capacity) and you confirm that you are eligible to do so and not restricted legally, based on your residency, geographic location, or other eligibility criteria.
3.3. You agree to comply with all applicable laws and this Agreement, as may be amended from time to time with or without advance notice, including our policies and processes.
3.4. You may not make unauthorised commercial use of, reproduce, prepare derivative works, distribute copies, perform, or publicly display our services or website content, except as permitted by the doctrine of fair use or as authorised in writing by us. 3.5. You may not post false, inaccurate, misleading, defamatory, or libellous content on our website or through/on our services.
3.6. You may not transfer your Funderbeam account and user ID to another party or enable access to any other party without our consent.
3.7. You may not harvest or otherwise collect information about users, including email addresses, without their consent.
3.8. You may not commercialise any Funderbeam service, application, or any information or software associated with them.
4. User/Your rights
4.1. On the condition that you comply with all your obligations under this Agreement we grant you a limited, revocable, nonexclusive, nonassignable, and nonsublicenseable license and right to access our services.
4.2. You can access Funderbeam Services through a web browser, mobile device, or our authorised application to view content and information, and otherwise use the services, to the extent intended and permitted by their functionality.
4.3. Any use of our services contrary to our mission and purpose is strictly prohibited and a violation of this Agreement. We reserve all rights not expressly granted in this Agreement.
5. User Content
5.1. To use our services you may be asked to create an account that includes a username and password. You may also be able to sign up or log in to our services through authorised third-party service providers.
5.2. You agree that information you submit to us about yourself is true, accurate, current and complete. You agree to update your registration and profile information to keep it current and accurate.
5.3. You are solely responsible for the content you upload, post, email, transmit, or otherwise make available on or through our services or website.
5.4. You may only post content that you own, have created, or that you have clear permission to publish. You acknowledge and agree that Funderbeam does not endorse any user content and is not responsible or liable for any such content, even though it may be unlawful, harassing, libelous, privacy-invading, abusive, threatening, harmful, vulgar, obscene, or otherwise objectionable, or may infringe upon the intellectual property or other rights of another.
5.5. You acknowledge that we do not and have no obligation to pre-screen any user content. However, we do have the right (but not the obligation) in our sole discretion to refuse, edit, move, or remove any user content that is submitted on or through our services or website.
5.6. By submitting any user content through or to our services or website you hereby irrevocably grant to Funderbeam, its affiliates and distributors, a worldwide, royalty-free, non-exclusive, and fully sub-licensable license, to use, reproduce, modify, adapt, translate, publicly perform, publicly display, create derivative works from, transfer, transmit and distribute such content in whole or in part and to incorporate the content into other works in any format or medium now known or later developed. These grants shall include the right to exploit any proprietary rights in such user content, including but not limited to rights under copyright, trademark, service mark or patent laws under any relevant jurisdiction. You grant Funderbeam the license to use, distribute, reproduce, modify, adapt, publicly perform, and publicly display such information on the services or website or on any media. You agree that the grant of rights by you to Funderbeam and its affiliates is provided without any entitlement of payment of fees or consideration.
5.7. We may share your personal and identifiable information (including telephone numbers and emails) with our service providers whom we have contracted to assist us in providing the services, including statistical and marketing analysis. If you do not wish to receive such communications, you may opt out in the communications preference section of your account (if available), send us an e-mail or click an unsubscribe link in the e-mail sent to you.
5.8. When you sign up or sign in to our services you agree to receive calls, emails, text messages, etc., including autodialed and/or pre-recorded message calls, from us.
5.9. You agree that we may contact you in the manner we have in our records for the following purposes: (i) for reasons relating to your account or your use of our services (such as to collect a debt, resolve a dispute, or to otherwise enforce the Agreement) or as authorised by applicable law; (ii) to contact you for marketing, promotional, or other reasons that you have either previously consented to or that you may be asked to consent to in the future. If you do not wish to receive any marketing or promotional communications, you may opt out in the communications preference section of your account (if available), send us an e-mail or click an unsubscribe link in the e-mail sent to you.
6. Fees and payment and no-refunds policy
6.1. Our services are not free of charge, unless specified otherwise. The fees we charge for using our services are listed in our Pricing information. We may change our fees and services from time to time by posting the changes on our website 30 days in advance, but with no advance notice required for temporary promotions or lowering the price.
6.2. We invoice depending on the services you have purchased. We may have monthly, quarterly or annual subscription fees. We may also, from time to time, introduce other types of subscriptions (daily ticket, 24h ticket etc.). When you upgrade or amend your subscription, such a change will enter into force immediately when the subsequent payment has been made (please note that we do not provide refunds, as explained below).
6.3. Your total price will include the price of the product plus any applicable sales tax; such sales tax is based on the bill-to address and the sales tax rate in effect at the time you subscribe to the product.
6.4. When you successfully place an order for Funderbeam subscription, your debit or credit card is registered by default for renewals. Please review your invoice each time your credit card has been charged and a renewal invoice has been issued. If you have purchased an auto-renewing subscription, the same subscription fee that is listed in the shopping cart is charged at the end of each billing cycle, unless you cancel your subscription.
6.5. You agree that Funderbeam stores your payment information.
6.6. If your payment method fails or your account is past due, we may collect owed fees through other collection mechanisms.
6.7. The due date of your payment depends on your invoice date. The date we create your invoice depends on when you created your account and what type of subscription fee you selected.
6.8. The payment options and methods are disclosed on our website. We currently accept the automatic payment in euros by credit card (Visa and Mastercard). Your invoice payment will be automatically processed by your payment due date, according to the payment method you chose when you created your account.
6.9. By entering your credit card information you are stating that you are an authorised user of the credit card and that the associated information entered (account holder name, account number, billing address, etc.) is accurate, you authorise Funderbeam to charge the amount you have requested to your credit card.
6.10. For each transaction, in addition to the charge you have authorised, your credit card issuer and network may assess their customary transaction or handling charge, if any.
6.11. If a charge is declined or reversed by the credit card issuer or network, you agree to pay us a service charge and to reimburse us for all reasonable costs of collection. Your credit card issuer may also assess its customary charge for such transactions.
6.12. If your credit card issuer or network does not honour an online payment transaction, then we have the right to charge the amount of any such transaction to your account or to collect the amount from you.
6.13. If your credit card issuer or network does not honor an online payment transaction, we may terminate any or all Funderbeam Services, and we may cancel your right to participate in the online payment program.
6.14. Gift certificates, codes and allowances, in addition to unused balances, are not redeemable for cash and cannot be returned for a cash refund, exchanged, resold. Subscription fees and unused balances, if any exists, are neither transferable nor entitled to an interest payment.
6.15. No-Refund Policy. There will be no refunds for any reason. The products or services available for purchase on our web site are accessible and try before you buy. We provide free trial period to let you evaluate Funderbeam Services before you make a purchase decision. Please use the trial period to make sure that the services we provide meet your needs before purchasing or paying a subscription fee. If you purchase one of our Services, after your payment has cleared your license to use our Services will be activated. Once purchase is made, its non-refundable and non-transferrable. All our Services our sold as-is without any guarantee.
6.16. If you haven't paid your amount due by the payment due date, you may be invoiced a late fee of 0.5% per day of the balance past due or the highest amount permitted by applicable law, whichever is lower. This fee will be applied on the day after the payment due date.
6.17. If your account becomes past due, in addition to owing late fees, your account may be suspended for non-payment, and you may be responsible for collection costs and related legal costs.
6.18. Due to the dynamic nature of the internet, resources that are free and publicly available one day may require a fee or may have access restricted the next, and the location of items may change as menus, homepages, and files are reorganised. Use of Funderbeam site is at the user's sole risk. Funderbeam does not warrant that the service will be uninterrupted or error-free. The documents and related graphics published on this site could contain technical inaccuracies or typographical errors. Changes may be made to the information on this site at any time.
7. Liability and Warranty
7.1. As some countries and jurisdictions do not allow the exclusion of limitations and as a result the contents of this clause and Agreement may not apply to you.
7.2. In no event shall Funderbeam and its affiliates, the officers, directors, employees, agents or suppliers be liable for lost profits, money, goodwill, reputation, any intangible loss or any damage (including incidental or consequential) arising out of or in connection of: (i) use of or inability to use our services, website or this Agreement; (ii) delays or disruptions of our services or website; (iii) viruses or any malicious software obtained by accessing our services or website; (iv) the accuracy or reliability of the content of the website or services; (v) suspension of your account; (vi) you are dissatisfied with our website or services; (vii) your need to modify your practice or content of information.
7.3. Although acting in good faith and considering it to be true and correct, Funderbeam takes no responsibility for the accuracy, reliability or correctness of information included in the services or materials it provides.
7.4. Funderbeam Services and all information is provided “as is” and “as available” and without representation of warranty. We do not have control over information provided or published by third parties and we cannot ensure that our analytics, statements, services, or products are correct.
7.5. Funderbeam is not responsible for the content of any referenced or linked off-site page and is not liable for that content. The risk of injury rests entirely with the user. Links from the Funderbeam site to other sites do not constitute an endorsement from Funderbeam. These links are provided as an information service only. It is the responsibility of the user to evaluate the content and usefulness of information obtained from other sites. You should direct any concerns regarding any external link to its site administrator or webmaster. If you choose to follow one of these links, the policies of that outside site take effect until you return to this site.
You agree to indemnify us and hold us harmless for all damages, losses and costs (including, but not limited to, reasonable attorneys’ fees and costs) related to all third-party claims, charges, and investigations, caused by (1) your failure to comply with this Agreement, including, without limitation, your submission of content that violates third-party rights or applicable laws, (2) any content you submit to us, and (3) any activity in which you engage on or through Funderbeam.
10.1. This Agreement is of unlimited duration.
10.2. You may terminate this Agreement, for any or no reason, at any time. Such option may be available through your account profile under your subscription rights.
10.3. Funderbeam may terminate or suspend this Agreement and your account for any reason or no reason, at any time, with or without notice. This cancellation or suspension shall be effective immediately or as may be specified in the notice. Termination or suspension of your account includes disabling your access to Funderbeam services and may also bar you from any future use of Funderbeam.
10.4. Funderbeam may, at any time, restrict, suspend or terminate your account in case of abuse or misuses the services. Misuse or abuse include: using offensive language, providing false or misleading information, using our services commercially without our authorisation, infringing any intellectual property rights or any other behaviour that Funderbeam, in its sole discretion, deems contrary to its purpose.
11.1. You agree that Funderbeam may send you electronic messages about your account and the services. Any such communication will be considered to be received by you within 24 hours after the time we post it to our website or email it to you. Any messages sent to you by postal mail will be considered to be received by you 7 business days after we send it.

12. Entire Agreement
This agreement constitutes the whole agreement between the parties and supersedes all previous agreements between the parties relating to its subject matter. Each party acknowledges that, in entering into this agreement, it has not relied on, and shall have no right or remedy in respect of, any statement, representation, assurance or warranty (whether made negligently or innocently) other than as expressly set out in this agreement. Nothing in this clause shall limit or exclude any liability for fraud or for fraudulent misrepresentation.
13. Assignment and Delegation
13.1. You may not assign or delegate any rights or obligations under the Agreement. Any purported assignment and delegation shall be ineffective.
13.2. Funderbeam may freely assign or delegate all rights and obligations under the Agreement, fully or partially without notice to you. We may also substitute, by way of unilateral novation, effective upon notice to you, for any third party that assumes our rights and obligations under this Agreement. Such notice will be given through our website or email or by any other type of notice.
14. Applicable law and dispute resolution
14.1. This Agreement is subject to the legislation and jurisdiction of Estonia. It is used as if the concerning legal transactions and services are taking place and provided in Estonia.
14.2 If any provision of this Agreement is held to be invalid, void or for any reason unenforceable, such provisions shall be struck out and shall not affect the validity and enforceability of the remaining provisions. In our sole discretion, we may assign this Agreement, by providing notice of such assignment.
14.3. Funderbeam and you must use their best efforts to resolve any dispute, controversy or claim arising out of or relating to this Agreement or breach, termination or invalidity in amicable negotiations. In case the dispute cannot be solved, it shall be finally settled by the Arbitration Court of the Chamber of Commerce and Industry of Estonia in Tallinn in accordance with the Rules of the Arbitration Court. The arbitration court shall consist of two (two) neutral arbitrators, i.e. you and Funderbeam shall each appoint 1 (one) arbitrator. The arbitration shall be held in Tallinn and the arbitral proceedings shall be conducted in English. Payment of all filing, administration and arbitrator fees will be in accordance with the Rules of the Arbitration Court. The arbitrators shall apply the terms of this Agreement as a court would. The arbitrators' award shall be final and binding and judgment on the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.

These Private Policy rules (policy) are subject to Estonian law. This policy describes how we treat and use customer and/or user information
we collect when you visit our website, use our services and/or receive any email from us. Also, this policy explains how to access and update
information. By using any Funderbeam services or our website, you indicate that you accept this policy and any applicable agreement incorporated by reference.
1. Your personal information collected by Funderbeam.
1.1 We require certain information to allow us to process your registration, log-in process (including the sign-in process with your existing
account through third-party service providers)
to or your usage of Funderbeam’s website or any other services provided by us. We collect publicly-available details, also provided by you directly,
indirectly or via third parties (including Crunchbase). To provide you with the services, we may also request and/or collect personal
information such as your name, geographical coordinates, email, telephone number, age and occupation, credit-card information etc.
1.2 We collect personal information when you sign up, log in, use or visit our pages, and when you click on links on our pages. We may collect additional
information in connection with your participation in any services offered by us, third parties and information you provide when giving us feedback.
We may use your information to send you offers and news about Funderbeam products and services or those of other selected companies which we think may
be of interest to you.
1.3 Your data may be used for the following purposes: accounting, billing and audit, credit card or other payment-card verification and screening,
security, administrative and legal purposes, statistical and marketing analysis, systems testing, maintenance and development, customer surveys,
customer relations, and to help us in any future dealings with you, by identifying your requirements and preferences, for example.
We may share your personal and identifiable information with our service providers whom we have contracted to assist us in providing the services,
including statistical and marketing analysis. We may also share this information with others, such as advertisers interested in on our site, in aggregate,
anonymous form, which means that the information will not contain any personally-identifiable information about you or any other person.
1.4 We may contact you by post, email or telephone (including SMS) for these purposes. Your confirmation emails may include marketing material
which we may feel will be of interest to you from third parties.
1.5 If you do not wish to receive commercial communication from us, please select your choices by using the opt-out box available in your personal
preferences section of your account.

1.7 Funderbeam does not collect any other personal and publicly unavailable information that you do not expressly provide. Funderbeam will not
sell, rent or share your personal information, including your email address, with any third parties for marketing purposes without your permission.
1.8 We may share your personal information to contact you by postal mail, email, telephone, or any other form of electronic or non-electronic
communication, as required by law. Though we make every effort to preserve user privacy, we may need to disclose personal information when
required by law and when we have a good-faith belief that such action is necessary to comply with judicial proceedings, a court order or legal
process that we receive. We may also collect demographic and other data, which may include personally-identifiable information, generally through
surveys and forms which you may or may not choose to participate in.
2. Profile page
If you choose to sign up for a Funderbeam account, you may or may not already have a personal or corporate profile page on our site, containing
the name and basic information about the company you work for, the business you working with, or your own name if you're working independently.
You may also add other information to your profile, describing and illustrating your business, activities, team, etc.. Through your account settings,
you may be able to control what type of profile information is shown to others. If you are a private person with a personal account, you may delete
your account or ask us to limit the usage of your profile. Links to your profile page may be included on Funderbeam’s pages. If you send a message
to another Funderbeam user through an internal-messaging feature, that person may be informed of your email address. Certain information about each
user or member will be included in that user’s or member’s public profile and may be accessible to anyone visiting that profile page on our website.
In case you find incorrect information on our site regarding your profile, please contact us at firstname.lastname@example.org or update your profile in the data
sources mentioned earlier.
3. Usage information
In addition to collecting personal and non-personal information, we may also collect non-personal, aggregated information about subscribers' and users’
use of our site. This information is not personally identifiable and will only be used to find out how our services and website are used. For example,
this information may include how much time users spend on our site, from which other sites subscribers came, and to what other sites subscribers go.
The collection of this information allows us to, among other things, prepare for traffic-load demands and to efficiently deliver relevant information.

appears on those sites and does not endorse them. Please consult those sites' individual privacy policies in order to determine how they treat user information.
All information described here is stored on restricted database servers.
