Private Market Guide for investor networks

Funderbeam is a global platform that enables companies to run private syndications and secondaries whilst offering a unique option of liquidity for investors.

Angel networks, accelerators, and VCs find and fund future unicorns and help them grow along the way.

However, the start-up investment process can involve a lot of time-consuming legal and communication issues. With follow-up funding rounds and corporate events to set up, this can quickly become time and resource-consuming.

Funderbeam provides a legal framework that allows for a streamlined fundraising process as well as technology to help you with corporate governance and investor communications issues (i.e. shareholder voting) post-fundraising, all in one place.

How do I get started?

As a manager, you will have a custom URL to log in to your space.

A space on Funderbeam is a private, access-managed area of the platform to work with your funding projects and manage investor access. Everything in your space is strictly private and only visible to the people you grant access to.

Accessing your space.

Your space on Funderbeam has a dedicated login screen. Enter your email and password to log in to your space.

You can also access it via your personal Funderbeam account by logging in and switching to the private space.

Moving between spaces.

You can move between your space and the general Funderbeam space by clicking the logo at the top of the left-side navigation panel and selecting the space you wish to go to.

To access the space manager dashboard, click “Manage space” on the navigation panel.

 

Projects overview

The Deals tab displays an overview of all projects of your network. Keep an eye on the process of projects in preparation stages, active funding rounds, as well as past projects and secondaries (i.e. instruments that are tradable).

Manage member access

The Access tab allows you to invite members of your network to your space. You can see all members who have access as well as those who have not yet accepted their invitations, so you can follow up with them.

For the initial setup of a network, Funderbeam can also offer bulk upload of your investor list, so they will automatically get notified to join whenever the first syndicate is published and open for indications.

Note: to accept an invitation and gain access to your space, the investor needs a verified Funderbeam account.

Share updates

On the Updates tab, you can post news and updates to your space. These will be visible only to your network members.

Space profile

On the Profile tab, you can edit some basic information about your network, upload your network logo and pick a colour theme.

This page provides you with an overview of the services provided by different entities belonging to Funderbeam group. In the pages of this website, platform, and documents located on these pages (save to where referred otherwise), we generally refer to the group, which includes group of entities being direct or indirect subsidiaries of Funderbeam Ltd, including VBAS, VML, and VB Pte, as “Funderbeam”, “we”, “us” or “our”.

A Funderbeam client (whether investor or company) is a client of the service provider and under the protection of the requirements of the regulator under which that service provider operates: An EEA client’s service provider is VBAS, a UK/ non-EEA/ non-Singapore client’s service provider is VML, and a Singapore client’s service provider is VB Pte.

The applicable Funderbeam service provider has, prior to the offering of the investment offer on its Platform, verified from public registries in reasonable levels of due diligence, notwithstanding the due diligence which is also performed by the Lead Investor where applicable, which will cover at the minimum: a. that the project owner has no criminal record in respect of infringements of national rules in fields of commercial law, insolvency law, financial services law, anti-money laundering law, fraud law or professional liability obligations in all jurisdictions where practicable for such checks to be conducted; b. that the project owner is not established in a non-cooperative jurisdiction, or in a high-risk third country as set out by the Financial Action Task Force (“FATF”), and/or other government directives in jurisdictions where Venturebeam is operating.

The Marketplace is operated as an organised market by VB Pte., in Singapore as a Recognised Market Operator (RMO) under the supervision of the Monetary Authority of Singapore. VBAS and VML are Trading Members of the RMO’s Marketplace. Access to the Marketplace for EEA and non-EEA clients is only provided by and through such clients’ service provider (ie VBAS or VML). The Marketplace does not provide services directly to investors outside Singapore.
