Funderbeam enables VCs and investor networks to provide their companies with a private and secure space on the Funderbeam platform for running private syndications and secondary deals.

Investment services is a highly regulated field to ensure that the investment firms safeguard the holdings at the required level and ensure all the presented information is fair and not misleading. Funderbeam holds licenses that allow us to offer and hold investments of companies established in the European Economic Area.

You can gain access to the private and secure space by accepting the invitation sent by your network manager, or by requesting access via the unique Private Market login link shared with you.

What should I do to get access to the Private market?

Once your investor network has invited you to Private Market, you need to go through the regular Funderbeam onboarding process, which consists of ID verification and investor self-assessment.

Moving between spaces.

You can move between your space and the general Funderbeam space by clicking the logo at the top of the left-side navigation panel and selecting the space you wish to go to.

What information will I have access to?

You will have access to:

  • new investment offers including the agreed terms;

  • news and updates posted by the companies;

  • companies’ financial reports;

  • new shareholder votes concerning you.

What are the available functionalities?

What will happen to my investment, if I’m no longer a member of the Investor Network?

When you leave the investor network, you will no longer have access to the networks space on Funderbeam, however, you will still have access to Funderbeam and the investments you’ve made during your membership will be visible in your Portfolio on the Funderbeam space.

What/who determines the share price?

The initial share price is determined by the Lead Investor or Strategic Investor in cooperation with the issuer.

Why does it make sense to trade secondaries?

While in general, Private Equity investments should be made with a long investment perspective, meeting your growth targets or a need for liquidity are common reasons to trade some or all of your investments.

How is the market monitored?

Our compliance team monitors the transactions of the market and there are rules set in place for issuers and investors to avoid market manipulation. To learn more, see the Funderbeam Marketplace Rules.

Can insider trading occur?

Companies maintain an insiders list and Funderbeam monitors all trading activity. Read more about how Funderbeam avoids market manipulation.

What kind of startups will be tradable?

Companies have to decide whether they will be tradable on the Funderbeam Marketplace. When they decide to be tradable, the Fundebeam evaluation team will need to review the company, after which the admission committee can approve the company for trading.

This page provides you with an overview of the services provided by different entities belonging to Funderbeam group. In the pages of this website, platform, and documents located on these pages (save to where referred otherwise), we generally refer to the group, which includes group of entities being direct or indirect subsidiaries of Funderbeam Ltd, including VBAS, VML, and VB Pte, as “Funderbeam”, “we”, “us” or “our”.

A Funderbeam client (whether investor or company) is a client of the service provider and under the protection of the requirements of the regulator under which that service provider operates: An EEA client’s service provider is VBAS, a UK/ non-EEA/ non-Singapore client’s service provider is VML, and a Singapore client’s service provider is VB Pte.

The applicable Funderbeam service provider has, prior to the offering of the investment offer on its Platform, verified from public registries in reasonable levels of due diligence, notwithstanding the due diligence which is also performed by the Lead Investor where applicable, which will cover at the minimum: a. that the project owner has no criminal record in respect of infringements of national rules in fields of commercial law, insolvency law, financial services law, anti-money laundering law, fraud law or professional liability obligations in all jurisdictions where practicable for such checks to be conducted; b. that the project owner is not established in a non-cooperative jurisdiction, or in a high-risk third country as set out by the Financial Action Task Force (“FATF”), and/or other government directives in jurisdictions where Venturebeam is operating.

The Marketplace is operated as an organised market by VB Pte., in Singapore as a Recognised Market Operator (RMO) under the supervision of the Monetary Authority of Singapore. VBAS and VML are Trading Members of the RMO’s Marketplace. Access to the Marketplace for EEA and non-EEA clients is only provided by and through such clients’ service provider (ie VBAS or VML). The Marketplace does not provide services directly to investors outside Singapore.
